Terms of service and privacy
Last updated 29 October 2026
This page holds two parts: the Terms of service (sections 1 to 27), which govern your use of SealPay, and the Privacy part (sections 28 to 41), which explains how we handle personal data.
Terms of service
These terms of service (the "Terms") are a binding agreement between you and SealPay about your use of SealPay, the website at www.trysealpay.com and the services offered through it (together, the "Service").
By creating a deal, joining a deal, signing a deal contract or otherwise using the Service, you confirm that you have read and accept these Terms, including the Privacy part (sections 28 to 41). If you do not accept them, do not use the Service.
In short: SealPay is a middleman between a buyer and a seller. It holds the buyer's payment for one deal under the deal contract both of you signed, so that you can complete the deal with confidence, and passes it on as that contract says. Sections 3 and 4 describe this role.
1. Who we are
The Service is operated by SealPay, Coastal Highway, Lewes, Delaware, United States ("SealPay", "we", "us" or "our").
You can contact us at team@trysealpay.com. Section 27 explains how we send and receive notices.
2. Definitions
"Buyer" means the person who pays for what is agreed in a Deal. "Seller" means the person who delivers it and receives the Payout. Each of them is a "Party".
"Deal" means one agreement between a Buyer and a Seller, set up on the Service. Each Deal stands on its own: its payment is held for that Deal only. "Deal contract" means the written terms of a Deal that both Parties sign on the Service, recorded as one text with its SHA-256 fingerprint. It sets out what is delivered, the amount, the Fee and how the held payment is released or refunded. "Deal page" means the page of a Deal on the Service, where its status, messages, files and history are shown.
"Deposit address" means the blockchain address shown to the Buyer for paying a Deal. "Held payment" means the Buyer's payment for a Deal while the Service holds it under the Deal contract. "Payout" means the transfer of the held payment to the Seller's payout address when the Deal is released under its terms. "Refund" means the transfer of the held payment to the Buyer's refund address when the Deal is refunded under its terms. "Fee" means our charge for acting as intermediary on a Deal.
"Stablecoins" means the digital tokens the Service accepts for payment. "Support" means the SealPay team members who review payments, answer requests, send Payouts and Refunds, and decide disputes.
3. The Service: an intermediary between buyer and seller
3.1 SealPay is an intermediary service: a neutral middleman between two people who have agreed a Deal with each other. A Buyer and a Seller agree on what is delivered, how delivery is checked, the price, and the coin and network used for payment. SealPay holds the Buyer's payment under the Deal contract they both signed, so that each of them can go ahead with confidence: the Seller knows the money is there before starting, and the Buyer knows it is passed on only as the contract says.
3.2 The Service works one Deal at a time. For each Deal it gives both Parties the same written terms to sign, provides a Deposit address for the Buyer's payment, follows that payment, holds it while the Seller delivers, and keeps a shared record of messages, files and steps. When the Deal ends, it releases the held payment as the agreed terms provide: to the Seller as a Payout once delivery is confirmed, or back to the Buyer as a Refund where the Deal is refunded.
3.3 We act on the Deal contract and on the steps the Parties take on the Deal page, and we do not take sides. Where the Parties disagree, a person at SealPay reviews the record and decides under section 15. Our staff do not handle Payouts, Refunds or disputes on Deals in which they are themselves the Buyer or the Seller.
3.4 SealPay is not a party to your Deal. It does not sell, buy or supply what the Deal is about, and it does not act for or represent either Party. The agreement about the goods, services or work is between the Buyer and the Seller. SealPay does not check the Parties' identity, email address or phone number. It does not inspect, test or approve what is delivered, so it cannot promise that either Party will perform.
3.5 Each Deal contract is shown to both Parties before they sign and fixed once both have signed. Its fingerprint lets either Party check later that the text has not changed. Where these Terms and a Deal contract differ about that Deal, the Deal contract applies to that Deal. In every other respect these Terms apply.
3.6 The website never holds, asks for or uses private keys or seed phrases. You keep full control of your own wallets, and payments to and from the Service are ordinary blockchain transfers.
3.7 Track records. The Service shows each person's number of completed deals and success rate to the other party of a Deal. A track record may include deals finished before or outside the Service that SealPay has added. It is a guide only and is not a statement or promise by SealPay about any person.
4. What the Service is not
SealPay is a contract-based intermediary, not a bank, a financial institution or a financial service. SealPay does not open accounts or keep balances for you, does not take deposits, pay interest, lend, invest or exchange currencies, and does not give financial, investment, legal or tax advice. A payment it holds is held for one Deal only, under that Deal's contract, until the Deal ends.
5. Eligibility
5.1 You may use the Service only if you are at least 18 years old, can enter into a binding agreement, and are not barred from using it by any law that applies to you.
5.2 You may not use the Service if you, or anyone you act for, are the target of sanctions, are located in a country or region under comprehensive sanctions, or are on a sanctions list kept by the United States, the United Nations, the European Union or the United Kingdom.
5.3 You use the Service for yourself, or for a business you are authorised to bind. If you act for a business, these Terms bind that business and you confirm that you have the authority to accept them on its behalf.
6. Signing in and your account
6.1 The Service has no passwords. You sign in with a one-time link or code sent to your email address. A sign-in link is valid for 15 minutes and a session lasts up to 7 days.
6.2 Anyone who can read your email can sign in as you. You are responsible for keeping access to your email account to yourself, for not sharing sign-in links or codes, and for everything done on the Service through your email address. Tell us at team@trysealpay.com as soon as possible if you think someone else has had access.
6.3 You must give accurate information, including your email address, your phone number and your wallet addresses, and keep it up to date while a Deal is open.
7. How a Deal works
7.1 Set up. One Party starts a Deal, describes what is delivered and how the Buyer will check it, sets the amount, the coin and the network, and invites the other Party by email. An invitation is valid for 7 days.
7.2 Signing. Each Party reads the same terms, gives a wallet address (the Buyer a refund address, the Seller a payout address) and signs, either by ticking the box with their typed name or by drawing a signature. You agree that signing in either way is your signature and binds you to the Deal contract. If the terms change before both have signed, the signatures are cleared and both Parties sign again. Once both have signed, the terms and the addresses can no longer be changed.
7.3 Payment. After both Parties have signed, the Buyer sees the Deposit address and the exact amount to pay. The Buyer should pay within 24 hours. A later payment still counts until the Deal closes, 3 days after both signed. Either Party may cancel a Deal until a payment is seen on the Deposit address.
7.4 Holding. Once the payment is confirmed, the Deal is funded and both Parties are told. The Seller can see that the money is held before starting work.
7.5 Delivery. The Seller delivers what was agreed, outside the Service or by attaching files, and marks the Deal as delivered.
7.6 Confirmation. The Buyer then confirms delivery, asks the Seller for changes, or opens a dispute. If the Buyer does none of these within 7 days of the delivery being marked, the Deal moves on to the Payout as if the Buyer had confirmed. The Deal does not move on by itself while a request to support is open or the Deal is on hold. After a request to support closes, the Buyer has at least 48 more hours. By using the Service, the Buyer accepts this rule.
7.7 Payout. Support then sends the Payout to the Seller's payout address as soon as possible. Both Parties receive an email with the transaction and a summary of the Deal.
7.8 Record. Every step is recorded on the Deal page with its time. Support may record a step for a Party where the record shows it has happened, for example confirming a payment that the Service could not read by itself.
8. Payments, coins and networks
8.1 The Service accepts only stablecoins: USDT and USDC, on the networks it offers when a Deal is made, currently TRON, Ethereum, Polygon, BNB Smart Chain and Solana. Not every coin is offered on every network. The coin and network of a Deal are fixed in its Deal contract. The Service does not accept cash, cards, bank transfers or any other currency.
8.2 The smallest deal is 10.00 USDT or USDC. There is currently no maximum, but SealPay may decline a deal of any size.
8.3 Send exactly the amount shown, including the last digits, in one transfer: the last digits identify your Deal. Send only the coin named, on the network named, to the Deposit address shown. Any wallet may send the payment, but the Buyer remains responsible for it. You pay the network fee of your own transfer.
8.4 A payment in another coin, on another network or to another address may not be credited to the Deal and may not be recoverable. Support may try to identify and return such a payment, but does not promise to.
8.5 A payment counts once the network has confirmed it. On TRON the Service reads the network by itself. On other networks the Buyer reports the transaction on the Deal page; the Service reads it where it can, and Support checks it by hand where it cannot. Some payments therefore take longer to confirm. The Deal page shows the status of each payment.
8.6 A payment that arrives after a Deal has closed or been cancelled is reviewed by Support and returned to the Buyer's refund address.
9. Small differences in the amount
9.1 Some exchanges take their withdrawal fee out of the amount sent, so a payment can arrive slightly short. Where a Deal contract contains a "Small differences" rule, a payment that is not the exact amount is matched to the Deal by Support, and then: a payment up to the stated percentage short counts as paid, and the missing part comes off the Seller's Payout; an extra up to the same percentage is kept by SealPay and is not returned.
9.2 A larger shortfall must be topped up before the Deal is funded. A larger extra is refunded to the Buyer's refund address.
9.3 The percentage is fixed in each Deal contract when the Deal is made, currently 2% for new Deals. Deals on TRON have no such rule: only the exact amount counts, a short payment must be topped up and any extra is refunded.
10. Fees
10.1 SealPay charges a Fee for each Deal. The current standard Fee is 2% of the Deal amount. A Deal may show a different rate, for example under a discount code or a promotion.
10.2 The Fee, and who pays it, are shown before the Parties sign and fixed in the Deal contract once both have signed. Unless the Party who starts the Deal chooses otherwise, the Buyer pays the Fee on top of the price, so the Seller receives the agreed amount. Where the Seller pays it, it is taken from the Payout.
10.3 No Fee is kept on a Refund. Network fees for the Parties' own transfers are not part of the Fee and are paid by the Party sending.
11. How funds are held
11.1 A payment for a Deal is received on a Deposit address controlled by SealPay and held there, or in another wallet controlled by SealPay, until the Deal ends in a Payout or a Refund.
11.2 A held payment is used for its Deal only and is released only under the Deal contract and these Terms. It is not a balance that either Party can withdraw at will.
11.3 The value of a stablecoin can change against the currency it follows. SealPay holds and pays out the same number of tokens it received, less any Fee and any shortfall under section 9, and is not responsible for a change in their value.
12. Payouts and Refunds
12.1 Payouts and Refunds are sent by hand by Support, from a wallet controlled by SealPay, as soon as possible after a Deal is released or refunded. Both Parties are told by email, with the transaction.
12.2 Payouts go only to the Seller's payout address and Refunds only to the Buyer's refund address given in the Deal. Check your address carefully before you sign. A transfer to a wrong address you gave cannot be reversed, and SealPay is not responsible for it.
12.3 A Deal is refunded when it was cancelled or closed and a payment still arrived, when a dispute is decided for the Buyer, or when SealPay cannot complete the Deal under these Terms. A Refund returns the amount received for the Deal.
12.4 A Deal is released to the Seller when the Buyer confirms delivery, when the confirmation time in section 7.6 passes, or when a dispute is decided for the Seller. A Payout is the Deal amount less the Fee where the Seller pays it, and less any shortfall under section 9.
13. Your responsibilities
13.1 You are responsible for your wallets and who can use them, for the addresses you give, for the transfers you make, and for what you sell, buy or deliver.
13.2 You are responsible for making sure that your Deal, and what is delivered under it, is lawful where you and the other Party are, and for any licence, permission or consent the Deal needs.
13.3 You are responsible for any taxes, duties and reporting that apply to your Deals. SealPay does not calculate, collect or report taxes for you.
13.4 You agree to describe the Deal honestly, to communicate with the other Party and with Support in good faith, and to keep the evidence of delivery and payment.
14. Prohibited use
14.1 You may not use the Service for anything unlawful, or to help anyone else do so. This includes fraud and scams, money laundering, terrorist financing, payments that involve sanctioned persons, entities or places, funds from crime or theft, illegal goods or services, gambling or financial products offered without the permissions they need, and content that infringes the rights of others.
14.2 You may not deceive the other Party or SealPay, use the Service on behalf of someone else without saying so, use it to move money without a real Deal behind it, interfere with the Service or the way it works, try to reach data you are not entitled to, or use automated means to access it without our written consent.
15. Disputes between buyer and seller
15.1 Either Party can open a dispute from the Deal page while the Deal is funded or marked as delivered, that is, before the Buyer has confirmed delivery and before the Deal has moved on to the Payout.
15.2 A person at SealPay reviews the Deal contract, the messages, the files, the payments and the history of the Deal, and may ask both Parties for more information or evidence. Each Party should answer as soon as possible. A Party that does not answer may have the dispute decided on the evidence available.
15.3 The decision is either a Payout to the Seller or a Refund to the Buyer, based on what the Deal contract says and what the evidence supports. SealPay answers support requests and decides disputes as soon as possible, but does not promise a fixed time.
15.4 The decision is final for the Deal within the Service, and the funds are sent accordingly. It is not a court judgment and does not take away any right a Party has under the law against the other Party. SealPay acts in good faith on the record it has and does not judge the Parties' wider legal rights.
16. Reviews, holds and cooperation with authorities
16.1 SealPay may review any Deal, payment or account. While it does, it may pause a Deal, hold a payment, Payout or Refund, or ask you for information about you, the Deal or the origin of the funds. It will usually tell the Parties concerned, unless the law or the review requires otherwise.
16.2 SealPay may refuse, cancel or end a Deal, or close an account, where it reasonably believes that these Terms have been broken, that the Deal is unlawful, that funds come from crime, or that the law requires it.
16.3 SealPay may keep funds for as long as the law or a lawful order from an authority requires, may share information with authorities where the law requires or allows it, and may return funds to where they came from where that is lawful and appropriate.
17. Risks of digital assets and blockchains
17.1 Blockchain transfers cannot be reversed once confirmed. Networks can be slow, congested, changed or interrupted, and their fees can change.
17.2 The companies that issue stablecoins can freeze, block or change their tokens, and a stablecoin can lose its link to the currency it follows. Wallets, exchanges and other services you use are outside our control.
17.3 Laws about digital assets differ between countries and can change. You use digital assets at your own risk and should take your own advice where you need it.
18. The Service as it is
18.1 The Service is provided "as is" and "as available". To the extent the law allows, SealPay makes no promises about the Service beyond those written in these Terms and the Deal contract, including any implied promise of fitness for a particular purpose.
18.2 We work to keep the Service running and the information on it correct, but we do not promise that it will be free of errors or interruptions, or available at every moment.
19. Limitation of liability
19.1 SealPay is not responsible for losses caused by: the other Party to your Deal; what is or is not delivered; blockchain networks, including delays, failures, forks or changes; the issuers of stablecoins; wallets, exchanges or other services you use; a wrong address, coin, network or amount you sent or gave; access to your email by someone else; or events outside our reasonable control.
19.2 To the extent the law allows, SealPay is not liable for indirect or consequential loss, or for loss of profit, business, opportunity or data, and its total liability to you for a Deal is limited to the Fee SealPay received for that Deal.
19.3 Nothing in these Terms limits or excludes liability for fraud, for wilful misconduct, or for anything else that cannot be limited or excluded by law.
20. Indemnity
You agree to compensate SealPay for claims, losses and reasonable costs, including legal costs, that arise because you broke these Terms or the law, or because of a Deal you entered into, except to the extent they were caused by SealPay.
21. Suspension and termination
21.1 You can stop using the Service at any time. Deals already signed continue under their Deal contract until they end in a Payout or a Refund.
21.2 SealPay may suspend or end your access to the Service if you break these Terms, if the law requires it, or if continuing would expose SealPay or others to harm. Where it does, open Deals are completed or refunded under their Deal contract and these Terms, subject to section 16.
21.3 Sections that by their nature should continue after your use ends, including sections 4, 13, 17, 19, 20 and 23, continue to apply.
22. Changes to the Service and these Terms
22.1 SealPay may change the Service, and may update these Terms, for example when the Service, the law or our practices change. The date at the top shows the latest version. Where a change is significant, we will say so on the website or by email before it takes effect.
22.2 A Deal signed before a change follows the Deal contract both Parties signed and the Terms in force when it was signed. Using the Service after a change means you accept the updated Terms for new Deals.
23. Governing law and courts
23.1 These Terms, and any dispute or claim about them or the Service, are governed by the laws of the State of Delaware, United States, without regard to its rules on conflict of laws.
23.2 The courts of the State of Delaware, United States have exclusive jurisdiction over any such dispute or claim, except where the law of the country where you live gives you a right to bring a claim in your local courts.
23.3 Before starting court proceedings against SealPay, please write to team@trysealpay.com so that we can try to resolve the matter.
24. Electronic communications
You agree to receive notices, Deal updates and records by email and on the Deal page, and that these meet any requirement for written communication. Keep your email address working while a Deal is open.
25. Assignment
You may not transfer your rights or obligations under these Terms or a Deal contract to anyone else without our written consent. SealPay may transfer its rights and obligations to a company that takes over the Service, provided your rights under open Deals are not reduced.
26. Entire agreement, severability and waiver
26.1 These Terms, including the Privacy part, and the Deal contract of each Deal are the entire agreement between you and SealPay about the Service.
26.2 If any part of these Terms is found invalid or unenforceable, the rest stays in force, and the invalid part is applied as far as the law allows.
26.3 If SealPay does not enforce a right at once, it has not given that right up.
26.4 These Terms are written in English. If they are translated, the English text applies.
27. Notices and contact
SealPay, Coastal Highway, Lewes, Delaware, United States. Email: team@trysealpay.com. We send notices to the email address you use on the Service. Notices to us go to the email address above. We reply as soon as possible.
Privacy
This part explains what personal data SealPay processes when you use the Service, why we process it, who we share it with and the choices you have. It forms part of the Terms above, and words with a capital letter have the meaning given in section 2.
SealPay is a middleman between a Buyer and a Seller: it holds a payment for one Deal under the Deal contract both Parties signed. We collect only what that role needs: to set up the Deal, show both Parties the same record, follow the payment, release it as agreed and help when something goes wrong.
28. Who is responsible
SealPay, Coastal Highway, Lewes, Delaware, United States, is responsible for the personal data processed through the Service. For any question about this part or your data, write to team@trysealpay.com.
29. Data we process
29.1 Contact and account data: your email address, your phone number, the name others see in the deal chat if you set one, your role on the Service (for example buyer, seller or support), and when you last signed in.
29.2 Deal data: the title, description, delivery check, amount, coin, network, Fee and dates of each Deal, the Deal contract and its fingerprint, and the history of every step with its time.
29.3 Signatures: the full name you type when you sign and, if you draw your signature, the image of that drawing.
29.4 Wallet and payment data: the payout or refund address you give, the Deposit address of the Deal, the transactions you report or we read on the blockchain (transaction hashes, amounts, the sending address and confirmations), and the Payouts and Refunds sent.
29.5 Messages and files: the messages you send in the Deal chat, support requests, the files you attach (with their name, type, size and fingerprint), and dispute reasons and decisions. Support may add notes to a Deal that only staff can see.
29.6 Emails: a copy of each email the Service sends you, kept with its delivery status.
29.7 Sign-in and technical data: sign-in links and codes, stored only in a scrambled (hashed) form, and a session cookie that keeps you signed in. To limit abuse, the Service counts recent requests by email address and network (IP) address in its working memory; those counts are not stored and are cleared on a restart. Our server logs record events by identifier and count, and are written so that they do not contain email addresses, wallet addresses, sign-in tokens or the content of your deals. Our hosting provider may keep its own connection logs, which can include IP addresses.
30. Where the data comes from
30.1 Most of it comes from you, when you start or join a Deal, sign, pay, write in the chat or attach files.
30.2 Some comes from the other Party: the Party who starts a Deal gives us the email address or phone number of the person they invite.
30.3 Some comes from public blockchains, where we read the transactions made to and from the Deposit address.
31. Why we process it
31.1 To provide the Service under the Terms and the Deal contract: setting up the Deal, showing both Parties the same terms, recording signatures, following payments, holding and releasing them as agreed, sending Payouts and Refunds, handling support requests and deciding disputes.
31.2 To send you emails the Service needs: sign-in links and codes, invitations, Deal updates, reminders about unread messages, and the summaries sent when a Deal ends.
31.3 To prevent and investigate fraud, abuse and payments from crime, and to protect the Service, its users and SealPay. We rely on our legitimate interest in running an honest service for this.
31.4 To keep records and meet legal obligations, including requests from authorities that the law requires us to answer.
31.5 We do not use your data for advertising, we do not build marketing profiles, and we do not sell your data.
32. Who sees it
32.1 The other Party to your Deal sees what the Deal needs: the terms, your email address and phone number, your signature name, your track record (section 3.7), the messages and files shared in the Deal, and the steps taken. Each Party sees only their own wallet address, and only the Buyer sees the Deposit address.
32.2 SealPay staff see what they need to support Deals, check payments, send Payouts and Refunds, and decide disputes.
32.3 Service providers that help us run the Service, under their own terms and only for that purpose: Railway, which hosts the website and its database; Resend, which delivers our emails; Telegram, which carries short alerts to our staff with a Deal code, an event and an amount, but no names, email addresses or wallet addresses; and TronGrid and other blockchain data providers, which receive the addresses and transaction hashes we look up on public networks.
32.4 Authorities, courts or advisers, where the law requires it or where it is needed to establish, exercise or defend legal claims.
32.5 A company that takes over the Service, if that happens, under the same commitments as this part.
33. Public blockchains
Payments on the Service are made on public blockchains. Wallet addresses, amounts and transactions on those networks are visible to anyone, are kept permanently by the networks and cannot be changed or deleted by us. Anyone who knows that an address is yours may be able to see its other transactions.
34. International transfers
SealPay and its providers may process data in the United States and in other countries where they operate, which may be outside the country where you live. Where the law requires it, we rely on the safeguards our providers offer for such transfers.
35. How long we keep it
35.1 A sign-in link expires after 15 minutes, and a session ends after 7 days or when you sign out.
35.2 Deal records, including the Deal contract, signatures, payments, messages, files and history, are kept as long as needed to run the Service, to settle questions or disputes about a Deal, and to meet legal and record-keeping obligations. The history of a Deal is kept as a record that is added to and never edited.
35.3 When data is no longer needed for these purposes, we delete it or remove what links it to you. You can ask us to do so earlier where the law allows (see section 38).
36. Cookies and storage on your device
36.1 The Service sets a session cookie that keeps you signed in and cannot be read by scripts on the page, and two short-lived cookies, lasting up to two minutes, that show a confirmation after a step. All are needed for the Service to work and none is used for tracking.
36.2 Your browser also keeps a few preferences on your device, such as light or dark theme, reduced motion and the chat sound. They are not sent to us.
36.3 The Service does not use advertising or analytics cookies.
37. How we look after your data
We limit access to staff who need it, use encrypted connections for the website, store sign-in links and codes only in hashed form, keep personal data out of our logs, and record every staff action on a Deal. No system is free of risk, so please also keep your email account and wallets to yourself, and tell us as soon as possible at team@trysealpay.com if you think something is wrong.
38. Your rights
38.1 Depending on where you live, you may have the right to ask for access to your data, a copy of it, its correction or deletion, a limit on how we use it, or to object to a use based on our legitimate interests.
38.2 To use these rights, write to team@trysealpay.com from the email address you use on the Service, so that we can confirm the request is yours. We answer as soon as possible.
38.3 Some data must be kept even if you ask us to delete it, for example the Deal contract, payment records and the history of a Deal that the other Party also relies on, or data we must keep by law. We will tell you when this applies.
38.4 You may also complain to the data protection authority where you live, where there is one. We would be glad to hear from you first.
39. Children
The Service is only for people aged 18 or over. We do not knowingly collect data from anyone younger. If you think a child has used the Service, please tell us.
40. Changes to this part
We may update this part when the Service, the law or our practices change. The date at the top shows the latest version. Where a change is significant, we will say so on the website or by email.
